These Terms and Conditions (the “Agreement”) govern the relationship between [Influencer’s Name] (the “Influencer”) and Elite Sarms (the “Company”), regarding the promotion of Elite Sarms brand products by the Influencer on various platforms, including but not limited to social media, blogs, and websites. By participating in this influencer program, the Influencer agrees to comply with the following terms:

Influencer Responsibilities:

1. The Influencer shall actively promote and endorse Elite Sarms brand products on their approved platforms in a positive and professional manner.
2. The Influencer shall create original and high-quality content related to Elite Sarms brand products.
3. The Influencer shall not make any false claims or misrepresentations about Elite Sarms brand products or engage in any deceptive marketing practices.
4. The Influencer shall comply with all applicable laws, regulations, and industry guidelines, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsement disclosures.

Product Promotion:

1. The Influencer shall only promote Elite Sarms brand products that have been approved by the Company.
2. The Influencer shall provide accurate and up-to-date information about Elite Sarms brand products to their audience.
3. The Influencer shall not promote competing products that may undermine the sales or reputation of Elite Sarms brand products without prior written consent from the Company.

Compensation:

1. The Influencer shall receive compensation as agreed upon by both parties for each promotional activity performed.
2. The Influencer shall provide the Company with all necessary documentation, such as invoices and tax forms, to receive the agreed compensation.
3. The Influencer acknowledges that the compensation is subject to applicable taxes, and it is their sole responsibility to comply with tax laws and regulations.

Intellectual Property:

1. The Influencer acknowledges that all intellectual property rights, including copyrights and trademarks, in Elite Sarms brand products and associated materials belong to the Company.
2. The Influencer grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the content created by the Influencer for promotional purposes.

Termination:

1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
2. In the event of termination, the Influencer shall immediately cease all promotion of Elite Sarms brand products and return any materials or products provided by the Company.

Confidentiality:

1. The Influencer agrees to keep all confidential information received from the Company, including but not limited to pricing, product details, and marketing strategies, confidential both during and after the term of this Agreement.
2. The Influencer shall not disclose or use any confidential information for personal gain or to the detriment of the Company.

Indemnification:

1. The Influencer agrees to indemnify and hold the Company harmless from any claims, liabilities, damages, losses, or expenses arising out of the Influencer’s breach of this Agreement or violation of any applicable laws or regulations.

Governing Law and Jurisdiction:

1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is based.
2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.

By participating in this influencer program, the Influencer acknowledges that they have read and understood these Terms and Conditions and agree to abide by them. This Agreement represents the entire understanding between the Influencer and the Company and supersedes any prior agreements or understandings, whether written or oral.
